SLC Law advises W.I.B.O.G. LLC on the capital increase raising its stake in Mens Sana Basketball s.s.d.a.r.l. to 75%
Calzolai Law Firm – SLC Law advised US company W.I.B.O.G. LLC on the capital increase that has raised the American group’s holding to 75% of the share capital of Mens Sana Basketball s.s.d.a.r.l.
The transaction implements the resolutions of the Extraordinary Shareholders’ Meeting of 4 August 2026, held before Notary Papi in Rome, approving the capital increase reserved to W.I.B.O.G. already contemplated in the October 2025 agreements. The Shareholders’ Meeting convened on 7 September 2026 to give effect to those resolutions.
The share capital is now held as follows: W.I.B.O.G. 75%, Polisportiva Mens Sana 1871 19.32%, Unico sas 3.41%, Associazione Io Tifo Mens Sana Siena 2.27%. The Meeting appointed the new Board of Directors, composed of Francesco Frati, Chairman; Michael Hillman, Honorary Chairman; Rory Ryan, Vice-Chairman and Chief Executive Officer; Claudio Ridolfi, Vice-Chairman; and Blair Browning, Simone Calzolai, Greg Davis, Alessandro Favilli, Guido Guidarini and Omair Toor as directors. Riccardo Caliani was confirmed as General Manager under a three-year mandate.
W.I.B.O.G. LLC was advised by Simone Calzolai, Esq. on the legal aspects and by Andrea Taddei on accounting and tax matters. Simone Calzolai, Esq. was also confirmed as a member of the Club’s Board of Directors. The Firm had already handled the initial acquisition of a 25% stake in October 2025, under an agreement that envisaged the possibility of increasing that commitment over the following two years.
