In particular the Law Firm provide assistance in the establishment and organization of new commercial enterprises and their internal and external structure, with drafting of articles of incorporation, articles of association and shareholders’ agreements; it also provides assistance in the execution of corporate obligations (also during the meeting and deliberation of the collegial bodies – Boards of Directors, Boards of Statutory Auditors, Shareholders’ meeting), as well as assistance in corporate litigations (including those concerning the liability of directors) assistance in extraordinary corporate transactions (including transformations, mergers and acquisitions, transfer of Companies and branches or business, spin offs, company conversions, relocations; sale of shares and corporate assets). It also deals with the drafting of all types of commercial contracts, including sale, distribution, agency, supply, franchising, lease, etc.
The Law Firm, with the help of external consultants, manages in an integrated way all aspects relating to mergers, demergers, transfers, transformations and acquisitions between companies, constantly monitoring and resolving all related legal and tax problems.
